1. Introduction

These Terms of Service (“Terms”) govern your access to and use of The Kitty mobile application, website, and related products and services (collectively, the “Services”) operated by Kitty Gaming, Inc. (“The Kitty,” “Company,” “we,” “us,” or “our”).

The Kitty is a sports betting information, analytics, and account management platform designed to help users compare betting odds, organize sportsbook activity, track bets and bankroll information, view sports data, use AI-powered informational tools, and, where supported, build bet slips that may be transferred to third-party sportsbooks for the user to review and submit directly with the sportsbook.

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply to specific features. If you do not agree, you may not access or use the Services.

These Terms form a legally binding agreement between you and Kitty Gaming, Inc.

Our Mission
The Kitty exists to simplify and enhance the sports betting experience by bringing together information, analytics, account management, and intelligent tools in one platform. We strive to provide timely, useful, and understandable information, but all wagering decisions remain solely your responsibility

2. Defintions

For purposes of these Terms:

Services
The Kitty mobile application, website, software, features, content, data, subscriptions, integrations, and related services.

Kitty Pro
The paid subscription tier of the Services that may include account linking, bet tracking, performance analytics, AI features, bet slip tools, and other enhanced functionality.

Kitty Assist
The Kitty AI-powered feature that provides informational responses, research assistance, betting-related analysis, and other generated content.

Sportsbook
A third-party licensed sportsbook, betting operator, or related service outside The Kitty.

Linked Sportsbook Account
A sportsbook account that you choose to connect to The Kitty through SharpSports or another supported third-party integration provider.

Third-Party Provider
Any independent provider that supplies data, infrastructure, account linking, AI, analytics, payments, hosting, authentication, messaging, or other services used by The Kitty.

Bet Slip
A proposed selection or set of selections created within The Kitty for informational and convenience purposes before review and submission directly with a sportsbook.

Deep Link
A link, redirect, or technical handoff that opens a third-party sportsbook application or website.

Subscription
A recurring paid plan purchased through Apple In-App Purchase, Google Play Billing, or another permitted billing platform.

User Content
Information, data, prompts, profile information, photos, preferences, or other content that you provide or generate through the Services.

3. Eligibility and Legal Compliance

You must be at least 18 years of age, or the legal age to participate in sports wagering in your jurisdiction, whichever is greater, to use the Services.

You are responsible for ensuring that your use of the Services is legal in your location and complies with all laws, regulations, sportsbook terms, and app store requirements that apply to you.

The Services may include content related to sports betting and real-money wagering. The Kitty does not determine whether you are eligible to place wagers with any sportsbook. Sportsbooks are solely responsible for verifying your eligibility, identity, location, account status, and compliance before accepting any wager.

We may limit, restrict, suspend, or terminate access to the Services if we believe your use may violate these Terms, applicable law, app store rules, sportsbook requirements, or responsible gaming standards.

4. User Accounts and Account Security

To use certain features, you must create an account. Current registration requires your first name, last name, email address, and password. Email verification is required before your account becomes active.

You may provide optional profile information, including a phone number or profile photo. Optional information is not required to use the core Services, but certain features may be improved or personalized by providing it.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs through your account. You agree to notify us promptly if you believe your account has been compromised.

You may not create an account using false information, impersonate another person, transfer your account to another person, or use another user account without authorization.

Passwords are not stored in plain text by The Kitty. We use commercially reasonable administrative, technical, and organizational safeguards to protect account information, but no system can be guaranteed completely secure.

5. Kitty Pro Subscriptions and Billing

Kitty Pro is a paid subscription service that may provide enhanced features such as Linked Sportsbook Account synchronization, bet tracking, performance analytics, Kitty Assist, bet slip building, deep linking, and other premium features.

On iOS, subscriptions are processed through Apple In-App Purchase. On Android, subscriptions may be processed through Google Play Billing. The Kitty does not receive or store your payment card number, banking information, or app store account password.

Subscriptions may renew automatically unless canceled in accordance with the applicable app store rules. You are responsible for managing your subscription through the Apple App Store, Google Play Store, or other billing platform through which the subscription was purchased.

Subscription pricing, features, billing periods, trials, promotional offers, renewals, cancellations, and refunds may be governed by Apple, Google, or the applicable billing provider. Refund requests for purchases made through Apple or Google must be submitted through the applicable app store process.

We may change subscription features or pricing from time to time. If required, we will provide notice or obtain consent through the applicable app store or in accordance with applicable law.

If your subscription expires, is canceled, fails to renew, or is otherwise invalid, access to Kitty Pro features may be suspended or removed.

6. Sportsbook Linking

The Kitty allows users to link supported sportsbook accounts through SharpSports or other supported Third-Party Providers. Linking is voluntary and requires your authorization.

When you choose to link a sportsbook account, you may be redirected to SharpSports and/or the applicable sportsbook to authenticate your account. Your sportsbook login credentials are never provided to or stored by The Kitty.

With your authorization, SharpSports may provide The Kitty with information from your Linked Sportsbook Accounts, including balances, bet history, open wagers, pending wagers, settled wagers, account activity, and other sportsbook information made available through supported integrations.

The Kitty uses Linked Sportsbook Account information to provide account synchronization, bet tracking, bankroll and performance analytics, personalized insights, responsible gaming tools, product improvements, customer support, and other features available through the Services.

The Kitty does not place wagers, accept wagers, transmit wagers, deposit funds, withdraw funds, hold sportsbook funds, or otherwise conduct sportsbook transactions on your behalf.

You are solely responsible for all activity in your sportsbook accounts, including wagers, deposits, withdrawals, promotions, account restrictions, account closures, tax obligations, and compliance with sportsbook terms.

You may disconnect supported Linked Sportsbook Accounts through the Services or applicable provider interfaces where available. Disconnecting may limit or disable features that rely on sportsbook synchronization.

7. Bet Slip Builder and Deep Linking

The Services may allow you to build a Bet Slip in The Kitty and, where supported by Third-Party Providers and participating sportsbooks, transfer or pre-populate that Bet Slip through a Deep Link to a sportsbook application or website.

A Bet Slip created in The Kitty is not a wager. A wager is placed only if and when you review and submit it directly with the applicable sportsbook, and that sportsbook accepts it.

The Kitty does not control whether a sportsbook accepts, rejects, modifies, delays, limits, voids, or reprices any proposed wager. Sportsbooks may change odds, lines, eligibility, limits, promotions, markets, and wager availability at any time.

Before submitting any wager, you are solely responsible for verifying all details directly with the sportsbook, including bet type, selections, odds, line, stake, potential payout, account balance, and sportsbook-specific terms.

Location information may be used to open a state-specific sportsbook destination, but The Kitty does not conduct geolocation compliance or determine whether you are legally permitted to wager. Sportsbooks remain responsible for verifying eligibility and location before accepting wagers.

8. Kitty Assist and AI Features

Kitty Assist uses artificial intelligence technologies, including providers such as OpenAI and Anthropic, to provide informational responses, research assistance, betting-related analysis, and generated content.

Kitty Assist is provided for informational and entertainment purposes only. It does not provide financial, investment, legal, tax, or professional gambling advice, and it does not guarantee betting outcomes.

AI-generated information may be incomplete, outdated, inaccurate, misleading, or based on limited context. You should independently verify information and use your own judgment before making decisions.

The Kitty does not guarantee that Kitty Assist will identify profitable opportunities, generate accurate predictions, or improve betting results. You remain solely responsible for your betting decisions and any losses or consequences resulting from them.

AI conversations are not designed to provide persistent memory. Session information may be lost when the app is closed, subject to the technical operation of the Services and applicable providers.

9. Third-Party Providers and Data Sources

The Kitty integrates with independent Third-Party Providers to deliver features. Providers may change over time.

• Sportsbook account synchronization providers, including SharpSports.

• Odds and betting market data providers, including The Odds API.

• Sports data providers, including Ball Dont Lie.

• Artificial intelligence providers, including OpenAI and Anthropic.

• Payment and subscription platforms, including Apple and Google.

• Cloud hosting, authentication, email, analytics, push notification, infrastructure, and caching providers, including Supabase, SendGrid, Redis, and analytics services.

Third-Party Providers operate independently of The Kitty and maintain their own terms, privacy practices, availability, data accuracy, service levels, and security practices.

The Kitty is not responsible for interruptions, outages, delays, inaccuracies, modifications, discontinuation, account restrictions, policy changes, or other actions of Third-Party Providers.

10. Odds, Sports Data, and Availability

The Kitty displays odds, lines, sportsbook information, schedules, standings, injuries, box scores, player statistics, play-by-play data, in-game information, and other sports-related content obtained from Third-Party Providers.

Odds and betting markets are dynamic and may change rapidly. Information displayed in The Kitty represents a point-in-time view and may not match the current information available directly from a sportsbook.

Different features may rely on different Third-Party Providers that update at different times. For example, sportsbook account data, bet history, balances, sports data, and displayed odds may refresh independently and should not be expected to update simultaneously.

The Kitty does not guarantee the accuracy, completeness, availability, timeliness, or reliability of any odds, sports data, sportsbook data, AI output, analytics, or third-party content.

You should always verify all information directly with the applicable sportsbook or authoritative source before placing any wager or making any decision.

11. Responsible Gaming and Support Resources

Sports betting involves financial risk and may be addictive. You should never wager more than you can afford to lose.

The Kitty supports responsible gaming. The Services are intended to provide information, organization, and tools, not to encourage reckless wagering or guarantee results.

If you believe you may have a gambling problem, consider seeking help from qualified resources such as the National Council on Problem Gambling or applicable state resources. In the United States, you may call or text 1-800-GAMBLER where available.

The Kitty may provide responsible gaming tools or insights, but those tools are informational only and do not replace sportsbook controls, self-exclusion programs, or professional assistance.

12. Acceptable Use

You agree not to misuse the Services. You may not:

• Use the Services in violation of law, sportsbook terms, or these Terms.

• Use the Services if you are underage or not legally permitted to access betting-related content.

• Attempt to access another user account or sportsbook account without authorization.

• Use automated systems to scrape, copy, harvest, or overload the Services.

• Reverse engineer, decompile, or interfere with the Services.

• Submit false, misleading, harmful, abusive, or unlawful content.

• Attempt to bypass subscription, security, app store, or access controls.

• Use the Services to commit fraud, money laundering, identity theft, or other unlawful activity.

13. Intellectual Property and Third-Party Marks

The Services, including The Kitty name, logos, user interface, software, design, text, graphics, organization, and proprietary content, are owned by Kitty Gaming, Inc. or its licensors and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, lawful, non-commercial use.

You may not copy, modify, distribute, sell, lease, sublicense, create derivative works from, or exploit the Services except as expressly permitted by us.

Third-Party Marks
All sportsbook names, team names, league names, logos, trademarks, service marks, and other third-party intellectual property displayed in the Services are the property of their respective owners and are used solely for identification, informational, compatibility, and comparison purposes.

The Kitty is not affiliated with, endorsed by, sponsored by, authorized by, or officially associated with any sportsbook, sports league, sports team, data provider, or other third party unless expressly stated.

14. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE KITTY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY.

We do not guarantee that the Services will be uninterrupted, error-free, secure, accurate, current, or suitable for your specific needs. We do not guarantee betting outcomes, sportsbook availability, subscription availability, account synchronization, AI accuracy, or data accuracy.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KITTY GAMING, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, LOST WAGERS, BETTING LOSSES, OR OTHER DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO THE KITTY FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability will be limited to the fullest extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Kitty Gaming, Inc. and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys fees, arising out of or relating to:

• Your use or misuse of the Services.

• Your violation of these Terms.

• Your violation of law or third-party rights.

• Your sportsbook account activity, wagers, deposits, withdrawals, or disputes with sportsbooks.

• Your content, prompts, data, or instructions provided through the Services.

17. Suspension, Termination, and Account Deletion

We may suspend, restrict, or terminate your access to the Services at any time if we believe you have violated these Terms, created risk for The Kitty or others, violated law, misused the Services, or otherwise engaged in conduct inconsistent with the integrity of the platform.

You may delete your account through the account settings or account deletion flow provided in the app. Account deletion is intended to be immediate and permanent, subject to limited technical, legal, security, fraud-prevention, backup, or dispute-resolution requirements that may require limited retention.

Deleting your account may disconnect Linked Sportsbook Accounts, remove account profile information, disable access to Kitty Pro features, and delete associated account data controlled by The Kitty. Deleting your account does not cancel an active subscription purchased through Apple or Google; you must cancel recurring subscriptions through the applicable app store.

18. Changes to the Services and Terms

We may update, modify, suspend, or discontinue any part of the Services at any time. Features, providers, data sources, sportsbook integrations, AI models, subscription offerings, and app functionality may change as the platform evolves.

We may update these Terms from time to time. If we make material changes, we will provide notice as required by law or through the Services. Your continued use of the Services after updated Terms become effective means you accept the updated Terms.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services will be handled in the state or federal courts located in Delaware, unless applicable law requires otherwise. You and The Kitty consent to the personal jurisdiction of those courts.

• We will strive to explain how data is collected and used.

• We will collect only information reasonably necessary to provide, improve, secure, and support the Services.

• We will support responsible gaming and remind users that all wagering decisions remain their own.
